二、货物接收方 II. Goods Receiver

乙方指定美国 公司（以下简称美国公司）作为甲方货物的代理及收货方。美国公司全权负责甲方货物在美国方面进口清关，收货等事宜。

Party B shall designate American Company (hereinafter referred to as American Company) as the agent and consignee of Party A's goods. The American Company is fully responsible for the customs clearance and receipt of Party A's goods in the United States.



各方同意：The parties hereto agree and understand following:

1、货物的实际所有权归甲方所有；

1. The actual ownership of the goods belong to Party A;



2、甲方承诺不会向美国公司收取货款；

2. Party A undertakes not to collect any payment from the American Company;



3、甲方不得以货款未收到等理由向保险公司索赔；

3. Party A shall not claim against the insurance company for the reasons of failure to receive the payment for goods and other;



4、甲方不得就委托乙方的货物向中国出口信用保险公司投保；

4. Party A shall not effect insurance against the goods entrusted to Party B for the China Export Credit Insurance Company;



5、乙方为甲方代缴进口关税、增值税或消费税，并不对甲方货物销售价格所产生增值税或消费税差额负责。一切相关税费都由甲方自行承担。

5. Party B shall pay import tariff, VAT or added tax on behalf of Party A and shall not be responsible for the difference of VAT or consumption tax generated by the sales price of goods. All relevant taxes and fees shall be borne by Party A itself.



三、服务费用及其结算方式 III. Service fee and settlement method

1、乙方按照经双方确认的收费项目和标准进行收费。付款时按照美元对人民币的实时汇率结算（以下报价含税）；

1. Party B shall charge the fees subject to the charging items and standards thereof confirmed by the parties. Payment is settled in Real-time exchange rate of the dollar against RMB (the following quotation includes tax);



2、仓储服务的计费项目、标准和结算方式以协议约定为准；其他未约定费用双方另行协商确定。

2. The billing items, standards and settlement methods of storage services shall be subject to the agreement, and other un-agreed expenses shall be determined separately through negotiation.



3、乙方定期于每月10日与甲方进行业务结算，甲方收到乙方所提供的《运费结算账单》明细后3个工作日内应与乙方进行核对和确认。如果甲方逾期未能回复则视为确认该结算账单。账单确认后的3日内，甲方应当支付确认金额给乙方。

Party B shall regularly effect business settlement with Party A on the 10th day of each month and Party A shall check and confirm with Party B within three working days upon receipt of the details of the Freight Settlement Bill provided by Party B. Failure of reply overdue by Party A shall be deemed to have confirmed the settlement bill and Party A shall, within three days upon confirmation of the bill effect payment of the confirmed amount to Party B.



四、甲方的权利和义务 IV. The rights and obligations of Party A

1、甲方应符合乙方规定的客户申请条件，且向乙方提供真实、合法、准确、有效的注册资料，并保证其诸如个人身份、公司资质、电子邮件地址、联系电话、联系地址、邮政编码等内容的有效性及安全性，保证乙方可以通过上述联系方式与甲方进行联系。同时，甲方也有义务在相关资料实际变更时及时更新有关注册资料；

1. Party A shall satisfy the requirements of customer application stipulated by Party B, provide Party B with true, legal, accurate and effective registration data, and ensure the effectiveness and security of its contents such as personal identity, company qualification, email address, phone number, address, postal code, and ensure Party B can contact Party A through above contact information. Besides Party A shall also be obliged to update the relevant registration data in time where the relevant data are actually changed;



2、甲方对其使用海外仓服务的货物有合法的拥有权和销售权；

2. Party A has the legal ownership and sales right of the goods which using the overseas warehouse services;



3、甲方应严格遵守本国、货物中转国、货物目的国以及国际航空运输协会（IATA）、国际民用航空组织（ICAO）的规定，在所托运货物中不得夹带任何危险品和法律规定的违禁品（包括任何易燃、易爆、有毒、有害或放射性物品、各种武器及其零件、死活植物、易腐类食品、古玩、各种淫秽制品及印刷品、能引起政治敏感性的物品、各种贵重首饰、贵重金属及其制成品、侵犯知识产权物品、现金及各类有价证券等）、当地海关禁止进口的物品等。因甲方的原因致使乙方损失，甲方应当承担相应的赔偿责任。

3. Party A shall strictly abide by the provisions of its country, the transit country and destination of goods, the International Air Transport Association (IATA) and the International Civil Aviation Organization (ICAO). No dangerous goods and legal contraband shall be carried in the checked goods including any flammable, explosive, toxic, harmful or radioactive goods, weapons and their parts, dead and living plants, perishable food, antiques, pornographic products and prints, articles that can cause political sensitivity, various precious jewelry, precious metals and their finished products, goods of intellectual property violations, cash and various securities, etc. and the goods prohibited by local customs, etc. If Party A causes losses due to Party A, Party A shall bear the corresponding liability for compensation.



4、对于仓储地点在中国大陆以外的区域，甲方应当积极配合清关，并及时支付相关费用。如果因甲方原因导致货物滞留、损毁和海关罚没，并由此而给乙方造成的损失，由甲方承担相应的责任；

4. For storage locations other than China’s mainland, Party A shall actively cooperate with customs clearance and pay relevant fees in time. Provided that the goods are stranded, damaged or confiscated due to Party A’s reason and make losses to Party B therefrom, Party A shall bear the responsibilities accordingly;



5、对收件人地址有误、不详、货物中夹带禁寄物品或其他由于甲方原因导致退件或损毁时,由甲方承担；

5. Party A shall bear the responsibilities of wrong address, unknown address, prohibited goods or other return or damage to the goods caused by Party A;



6、甲方有权要求乙方按委托指令将货物运送到目的地；

6. Party A shall have the right to request Party B to deliver the goods to the destination pursuant to the entrusted instructions;



7、在未办理提货、发货手续之前，甲方有权变更或取消委托内容，因此而产生的费用由甲方承担；

7. Party A shall, prior to the procedures of delivery and dispatch of goods, have the right to make amendment or cancellation of the entrusted contents and shall bear the expenses incurred therefrom.



8、甲方有权要求乙方随时提供委托业务的进展情况和服务过程中的信息；

8. Party A shall have the right to request Party B to provide, at any time, the progress of the entrusted business and the information during the service process;



9、甲方应当按国家有关承运货物包装标准进行包装；

9. Party A shall make packaging in accordance with the State’s standards of relevant packaging of the goods for transportation;



10、甲方负责将仓储货物的收货人信息、品名、品种、规格、数量、申报价值、包装、件数和标签按照乙方公司客户端系统操作要求完成设置并提交发货预报，并提供所有海关清关需要的文件。如果由于甲方操作失误而造成的运输延误，乙方不承担任何责任；

10. Party A shall, in accordance with the operation requirements of Party B's client system, be responsible for completion of settings on the consignee information, name, variety, specification, quantity, declaration value, packaging, number and label of the storage goods, in addition to submit the Delivery Forecast, and providing all documents required for customs clearance. Where the transportation delay due to Party A's operation error, Party B shall not bear any responsibility thereon;



11、甲方应按协议约定时间同乙方进行结算；

11. Party A shall effect settlement of payment with Party B at the time agreed in the agreement;



五、乙方的权利和义务 V. The Rights and Obligations of Party B

1、乙方应按协议要求在规定的时间内为甲方提供协议约定的服务；

1. Party B shall, within the specified time as required by the Agreement, provide Party A with the services stipulated herein;



2、货物检验和收货标准： 2. Inspection and acceptance standards of goods :

1) 入库收货的数量以客户将货物交至乙方指定的分拨中心，双方当面交接结果为准。如甲方委托第三方交货，乙方将以入库实收数量为准。乙方在货物入库时应当对货物进行验收，发现货物与客户发货单不符时，应当及时通知甲方；

（1）The quantity which receipted into the warehouse shall be subject to the same which are delivered to the distribution center designated by Party B and face-to-face handover between both parties. Where Party A entrusts a third party to deliver the goods, the put-in quantity in the storage shall prevail by Party B which shall check and accept the goods in the warehouse, and if the goods are inconsistent with the Dispatch List, shall timely notify Party A;



2）货物检验的内容、标准、方法、时间、资料，甲方需提前七个工作日以书面形式通知乙方，否则乙方只负责核对货物的数量、重量和外观；

(2) The Party A shall, seven working days in advance, notify Party B with the contents, standards, methods, time and data of goods inspection, otherwise, Party B shall only be responsible for checking the quantity, weight and appearance of the goods;



3）乙方于接收货物时向甲方开具提取货物的凭证：《货物交接清单》。

(3) Party B shall, upon taking delivery of the goods, issue List of Goods Handover which as the voucher delivering the goods.



4、相关订单中包含的货物品种、数量、配送地点、运输方式、收货人信息，以甲方在乙方客户端操作系统上的指示为准；

(4) The goods variety, quantity, place of delivery, transportation mode and consignee information contained in the relevant orders shall be subject to the instructions of Party A on the Party B's Client Operating System ;



5、如果乙方负责发运的货物不能按期发货，应赔偿甲方逾期交货的损失。如果由于乙方原因错发到货地点，乙方应无偿运到甲方指定的到货地点；

(5) Provided that if the goods which are dispatched on schedule by Party B, Party B shall compensate Party A for the loss of overdue delivery. Where Party B mistakes the delivery place due to itself reason, Party B shall deliver, free of charge, the goods to the delivery place designated by Party A;



6、海外仓储收到的客户退货，乙方应根据甲方指示进行处理，由此产生的费用（包括但不限于垃圾处理费用）由甲方承担。

(6) Party B shall handle the goods returned by the customer received by the overseas warehouse pursuant to the Party A’s instructions, and the expenses incurred therefrom (including but not limited to the garbage disposal expenses) shall be borne by Party A.



六、仓储服务和保管责任 VI. Responsibility for Storage Services and Custody

1、乙方具备符合要求的专业技术及人员、设备，能按照仓储与物流行业的最高标准和仓储与物流服务条款向甲方提供能让甲方满意的一流专业仓储与物流服务。

1. Party B have professional technology, personnel and equipment with specified requirements, and could provide a satisfactory first-class professional warehousing and logistics services to Party A according to the highest standards of warehousing and logistics industry and conditions of warehousing and logistics services.



2、在货物保管期间，如果仓储货物每月库存损耗率在千分之一以内，乙方不承担赔偿责任。但是库存损耗超过千分之一以上的，由于乙方自身的原因，造成货物灭失、短少、变质、污染、损坏的，乙方应承担赔偿责任；

2. During the storage period of the goods, if the monthly inventory loss rate of the stored goods is within one in a thousand, no liability for compensation will be on Party B. However, if the inventory loss exceeds more than one in a thousand and the lost, short, deteriorated, polluted or damaged by the goods due to Party B’s reason, the liability therefrom will be on Party B.



3、如果乙方发现仓储物有变质或其他损坏的，应当于5工作日内通知甲方。甲方接到通知后在工作3日内作出处置。如情况紧急或者危及仓储场所或其他仓储物安全的，乙方可以采取措施予以处理，不承担赔偿责任；

3. Provided that if Party B finds any deterioration or other damaged goods in warehouse, it shall notify Party A within five working days. Party A shall make a disposal within three days upon receipt of the notice. In case of an emergency or endanger the safety of the storage place or other storage materials, Party B may take measures to deal with it without liability for compensation;
